Terms of service

About these terms

Fedelsoft Practice Manager is provided by Fedelsoft Ltd, a company registered in England and Wales (company number 14256263, registered office Grove House, Waltham Road, White Waltham, Maidenhead SL6 3TN). "We" and "us" mean Fedelsoft Ltd. You can reach us at support@fedelsoft.com.

These terms cover this website and the Fedelsoft application. They are an agreement between us and the practice, clinic or hospital that holds a Fedelsoft subscription (the "organisation"), and they also apply to each person who signs in under that organisation's account. The person who opens an account confirms that they have authority to agree on the organisation's behalf.

Fedelsoft is a tool for healthcare businesses. It is not offered to consumers or to patients directly. Patients who use an organisation's portal do so under that organisation's own terms with them.

Our privacy policy explains how personal data is handled and forms part of these terms.

Your account and acceptable use

Accounts. Each person has their own sign-in and must not share it. The organisation decides who has an account and what each person's role allows, and is responsible for what is done under its accounts. Tell us at once if you believe an account has been used by someone else.

Directors. The person who opens an account is the organisation's first Director in Fedelsoft and can invite others. A Director can add and remove people, change roles and manage the subscription.

Using Fedelsoft properly. You agree to use Fedelsoft only for running your healthcare practice and in line with the law and your professional obligations. You must not try to reach another organisation's data, interfere with the service or its security, copy or reverse engineer the software, resell access to it, or use it to send unlawful or unsolicited messages.

Our software. Fedelsoft and everything in it other than your data belong to Fedelsoft Ltd. Your subscription gives you the right to use it while the subscription lasts. It does not transfer ownership of any part of it.

Plans, trials, add-ons and payment

Opening an account. New accounts are opened by us after a request for access. A request does not create a contract. The contract starts when we confirm the organisation's account.

Plans and prices. The plans, the optional add-ons and their monthly prices are those published at www.fedelsoft.com on the day the account is opened, or as later changed under these terms. One subscription covers one organisation.

Free periods. A new plan is free for its first 30 days. Each add-on is free for the first three months after it is first switched on, and is then charged monthly until it is switched off. Nothing is charged during a free period, and you may cancel before it ends.

Payment. Subscriptions are charged monthly in advance, by card or by Direct Debit through our payment provider. We do not see or store card or bank details. If a payment fails we will tell you and try again. If no valid payment method is in place when a free period ends, or a payment remains unpaid for 14 days, the account becomes read-only: nothing is deleted, and nothing can be added or changed until payment is made.

Tax. Prices are shown without VAT. If VAT becomes chargeable on our services we will add it at the rate then in force and tell you beforehand.

Price changes. We will give at least 30 days' notice by email before a price increase takes effect.

Arrangements made separately. Where we have agreed different commercial terms with an organisation in writing, those terms apply in place of this section.

Your data

Your records stay yours. The patient, staff and business records an organisation keeps in Fedelsoft belong to that organisation. We use them only to provide the service to it.

Roles under data protection law. For those records the organisation is the data controller and we are its processor. We act on the organisation's instructions under a data processing agreement, which forms part of the contract between us. The organisation is responsible for having a lawful basis for the records it keeps, for telling its patients how their data is used, and for answering their requests. We will help it do so.

Providers. We use the providers listed in our privacy policy to run Fedelsoft, and we will update that list before adding or replacing one.

Security. We protect data as described in the privacy policy. If we become aware of a personal data breach affecting an organisation's records, we will tell that organisation without undue delay.

Connected services. An organisation or a person may choose to connect other services, such as Google Calendar or Zoom. Each is optional and is used under your own agreement with that provider. Disconnecting is done from Settings.

How long records are kept. The organisation sets how long its records are kept, within the defaults described in the privacy policy.

Taking your data with you. For 90 days after a subscription ends, the organisation can ask us for a copy of its records. After that they are deleted, and backups are cleared within a further 35 days.

Clinical responsibility and the AI features

Fedelsoft supports clinical work and does not replace it. It is a record-keeping and practice management tool. It does not diagnose, recommend treatment or monitor patients, and it is not a medical device. Every clinical decision, and the accuracy of every record, remains the responsibility of the clinician and the organisation.

Reminders and messages. Fedelsoft sends appointment reminders, letters and other messages on the organisation's instructions. Delivery depends on email and mobile networks that we do not control, so a message must not be the only safeguard for anything clinically important.

AI features. Where the organisation has them switched on, Fedelsoft can transcribe a consultation, draft letters and notes, and answer questions about the organisation's own records. This output is produced by software and can be wrong or incomplete. It is a draft for a qualified person to read, correct and approve before it is filed, sent or relied on.

Consultation recordings. The organisation is responsible for telling patients that a consultation is being recorded and for having their agreement. The audio is deleted once its transcript has been filed.

What the AI provider receives. Text sent for an answer or a draft goes to our AI provider only to produce that result. It is not used to train AI models.

Availability, liability, ending and changes

Availability and support. We aim to keep Fedelsoft available at all times and to carry out maintenance outside clinic hours, but we do not guarantee uninterrupted service. Support is by email at support@fedelsoft.com. The organisation should keep its own arrangements for working safely if Fedelsoft is briefly unavailable.

Changes to the service. We improve Fedelsoft continually and may add, change or withdraw features. We will give reasonable notice before withdrawing a feature an organisation relies on.

Our liability. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Otherwise, our total liability to an organisation in any 12 months is limited to the fees it paid us in the previous 12 months, and we are not liable for loss of profit, loss of business or indirect loss.

Your responsibilities. The organisation is responsible for the records it enters, for its people's use of Fedelsoft, and for meeting its own regulatory duties.

Ending the subscription. An organisation may cancel at any time from its account or by writing to us, and the subscription ends at the close of the month already paid for. We may suspend or end an account that seriously or repeatedly breaks these terms, or that remains unpaid after notice, and will give the organisation the chance to put things right where that is possible.

Changes to these terms. We will post any change on this page with its date, and give account holders at least 30 days' notice by email of a change that affects their rights. Continuing to use Fedelsoft after that date means the organisation accepts the change.

Law. These terms are governed by the law of England and Wales, and its courts have jurisdiction.
